TL;DR
- These Terms govern your use of League Vitals. By signing up, you agree to them.
- You’re responsible for the data your league puts on the platform — especially roster PII and waivers.
- Paid plans renew automatically until you cancel. Cancel any time; no mid-period refunds by default, but we’ll fix billing errors.
- Don’t abuse the service, harass other users, or use it to break the law.
- The service is provided “as is.” Our liability is capped at what you paid us in the last 12 months.
- Ontario law governs. Disputes go to Ontario courts (except where mandatory local law says otherwise, e.g., Quebec).
1. Your agreement with us
These Terms of Service (the “Terms”) are a contract between you (“you” or the “Customer”) and Praxis Modern Business Solutions (“League Vitals,” “we,” or “us”), an Ontario, Canada business operating the League Vitals platform. By creating an account, clicking “I agree,” or using the service, you agree to these Terms.
If you’re signing up on behalf of a league, association, team, or other organization, you represent that you have the authority to bind that organization to these Terms.
2. What the service is
League Vitals is a hockey-league and team management platform. It includes scheduling, standings, boxscores, rosters, chat, notifications, waivers, and (on eligible tiers) the fair-teams pickup auto-balancer. It’s available as a web app at portal.leaguevitals.com and as an Android application. Features vary by tier — see pricing and features.
The service is hosted software. You don’t get a copy to install — you get an account to log into.
3. Accounts & eligibility
- You must be at least 18 years old or the age of majority in your jurisdiction to create a League Vitals account.
- Provide accurate information. Keep it current. Don’t share your password.
- You’re responsible for all activity under your account, including any users you invite.
- If you suspect unauthorized access, contact security@leaguevitals.com immediately.
4. Your data & your obligations as a league operator
When you use League Vitals to manage a league or team, you are the primary decision-maker about the data in that league (the “Customer Data”). We act as your service provider. Under Canadian privacy law (PIPEDA and, in Quebec, Law 25), we handle Customer Data on your behalf.
You agree that:
- You have the authority to upload the rosters, waivers, and player information you upload — including data about minors, where you or the parent/guardian has provided appropriate consent.
- You are responsible for informing your players/parents about how their data is used within your league.
- You’ll respect their access, correction, and deletion requests, and will forward requests to us when needed at privacy@leaguevitals.com.
- You will not use League Vitals to send commercial email or SMS to your players without their CASL-compliant consent (see SMS Terms).
- You retain ownership of the Customer Data. We claim no ownership over it.

5. Acceptable use
You will not:
- Use League Vitals to harass, threaten, defame, or discriminate against anyone;
- Upload malicious code, attempt to breach security controls, or probe the platform for vulnerabilities without a written invitation (bug reports through security@leaguevitals.com are welcome and encouraged);
- Interfere with the service (e.g., resource-exhaustion attacks, scraping at abusive rates);
- Reverse-engineer the platform except to the extent permitted by mandatory local law;
- Use the service to store or transmit content that violates applicable law (including intellectual property, privacy, or defamation law);
- Market to your players/parents without their consent under CASL, PIPEDA, or Law 25;
- Impersonate another person or misrepresent your affiliation with a league or team;
- Circumvent the tier limits (e.g., splitting one league across multiple free-tier accounts) or use the free tier for commercial resale.
We may suspend or terminate accounts that violate this section. Where practical, we’ll give notice first and a chance to cure.
6. Plans, billing & cancellation
Free tiers. Rookie (leagues) and Team Free (teams & pickup) are free. No credit card required. Tier limits apply — see pricing.
Paid tiers. Paid plans (Starter, Pro, Team Pro, League+) are billed monthly, 4-monthly, or 6-monthly — you pick when you subscribe. Prices are shown in Canadian dollars (CAD) unless otherwise indicated. Applicable taxes are added at checkout.
Auto-renewal. Paid subscriptions renew automatically at the end of each period until you cancel.
Cancellation. You can cancel any time from your billing settings in the portal. Your league keeps running until the end of the paid period, then drops to the free tier (Rookie or Team Free). No data is deleted at that point — you retain access to your league at free-tier limits.
Refunds. We do not pro-rate mid-period refunds by default. If there’s a billing error (double charge, wrong tier applied, etc.), email billing@leaguevitals.com and we’ll make it right.
Failed payments. If a charge fails, we retry a few times over several days. If payment still fails, your paid tier is suspended and your league drops to the free tier. No data is deleted.
Price changes. We may change prices with at least 30 days’ notice by email or in-app before your next renewal.
League+. League+ is invoiced separately per an agreed order form or engagement letter. Terms in that document control where they conflict with these Terms.
7. Availability & uptime
We work to keep League Vitals available and responsive, but we do not guarantee any specific uptime on self-serve tiers. We may perform maintenance that briefly interrupts the service — where practical, we’ll do it during off-peak hours and post notice. Force-majeure events (infrastructure provider outages, DDoS attacks, etc.) can cause interruptions outside our reasonable control. League+ engagements may include a specific SLA in the order form.
8. Third-party services
League Vitals uses third-party services listed in our Privacy Policy sub-processor table (Render, Cloudflare, Resend, Telnyx, Stripe, and others). We are not responsible for outages or failures on these providers’ end, but we’ll notify affected customers where it materially impacts the service.
9. Our intellectual property
League Vitals, the League Vitals name and logo, the platform code, and the marketing site are our intellectual property (or that of our licensors). Nothing in these Terms transfers ownership of our IP to you. You get a limited, revocable, non-exclusive, non-transferable licence to use the service for its intended purpose during your paid or free-tier period.
You retain ownership of the Customer Data you upload. You grant us a limited licence to host, process, and display that data solely to provide the service to you.
10. Feedback
If you send us feedback, suggestions, or feature requests, we may use them to improve the service without any obligation to you. We won’t identify you as the source without your permission.
11. Suspension & termination
We may suspend or terminate your account (with or without notice, but generally with notice) if:
- You materially breach these Terms, the Acceptable Use rules, or the SMS Terms;
- Payment is overdue and multiple retries have failed;
- We are required to by law or legal process;
- Continuing to serve you would expose us to legal, security, or reputational risk;
- We stop offering the service (in which case we’ll give reasonable advance notice and let you export your data before shutdown).
You can terminate your account any time by cancelling and deleting it from your billing settings, or by emailing privacy@leaguevitals.com.
Upon termination, we’ll delete or anonymize your personal data on the schedule described in the Privacy Policy, subject to legal retention obligations (e.g., tax records, breach records).
12. Warranty disclaimer
The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the service will be uninterrupted, error-free, or that it will meet your specific requirements.
Statutory rights. Nothing in these Terms limits any rights you may have under mandatory consumer protection laws (including the Ontario Consumer Protection Act and, if you are a Quebec consumer, the Quebec Consumer Protection Act).
13. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility.
- Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) CAD $100.
These limits do not apply to (i) fraud, wilful misconduct, or gross negligence, (ii) infringement of a party’s intellectual property rights, or (iii) any liability that cannot be limited under applicable law.
14. Your indemnity to us
You will defend, indemnify, and hold harmless League Vitals from third-party claims arising out of (a) your Customer Data (including any claim that your Customer Data violates a third party’s rights), (b) your breach of these Terms, or (c) your use of the service in violation of law.
15. Governing law & disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Except where mandatory local law says otherwise, the courts sitting in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of these Terms.
Quebec consumers. Nothing in these Terms is intended to override rights you have under the Quebec Consumer Protection Act or to require you to arbitrate a consumer dispute.
United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we’ll notify you by email or in-app before they take effect, and we’ll update the “Last updated” date. Continued use after the effective date means you accept the updated Terms. If you don’t agree, cancel your account before the new terms take effect.
17. General
- Assignment. You can’t assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Severability. If any part of these Terms is held unenforceable, the rest continues to apply.
- No waiver. Failing to enforce a right doesn’t waive it.
- Entire agreement. These Terms, together with our Privacy Policy and SMS Terms (and any signed order form for League+ customers), are the entire agreement between us.
- Independent contractors. The parties are independent contractors. Nothing here creates a partnership, agency, or joint venture.
- Notices to you may be sent to the email on your account. Notices to us should be sent to hello@leaguevitals.com.
